Registration of a change in share capital of the company Przedsiębiorstwo Budowy Kopalń PeBeKa S.A.

The Management Board of KGHM Polska Miedź S.A. announces that on 29 June 2005 a change in share capital was registered by the Regional Court for Wrocław-Fabryczna in Wrocław, Section IX (Economic) of the National Court of Registration for the company Przedsiębiorstwo Budowy Kopalń PeBeKa S.A. with its registered head office in Lubin (a subsidiary of KGHM Polska Miedź S.A.). The share capital was increased by PLN 10 100.0 thousand through the issuance of 165 573 shares having a nominal value of PLN 61.00 per share. The shares were acquired by KGHM Polska Miedź S.A. at their nominal value, i.e.  PLN 61. 00 each.

The newly-issued shares were acquired for cash, with a payment being made of PLN 7 100.0 thousand. The remaining amount of PLN 3 000.0 thousand will be paid by 30 October 2005.

The acquisition of these assets was financed by the internal funds of KGHM Polska Miedź S.A.

The carrying value of the acquired assets equals their nominal value.

The assets acquired are of a long term equity, investment nature.

After registration of this change the share capital of Przedsiębiorstwo Budowy Kopalń PeBeKa S.A. amounts to PLN 27 353.1 thousand and is divided into 448 411 shares of PLN 61. 00 each. The total number of votes arising from all issued shares is 448 411. KGHM Polska Miedź S.A. owns 448 411 shares of Przedsiębiorstwo Budowy Kopalń PeBeKa S.A., representing 100% of the share capital and granting the right to the same number of votes at the General Meeting.

The criteria used for describing the assets as significant is that the financial assets acquired by KGHM Polska Miedź S.A. represent over 20% of the share capital of Przedsiębiorstwo Budowy Kopalń PeBeKa S.A.

The funds acquired from the issuance of shares of the company Przedsiębiorstwo Budowy Kopalń PeBeKa S.A. will be utilised for the replacement of machinery/equipment and for developmental investments
