Ownership

Currently the State Treasury holds 31.79% (or 63 589 900) shares of the Company, the fund Allianz Otwarty Fundusz Emerytalny 5.98% and the fund Nationale-Nederlanden OFE 5.05% (according to information received). The remainder is held by Polish and foreign shareholders, both individual and institutional, representing the so-called „free float”.

Share Information

KGHM Polska Miedź S.A. debuted on the Warsaw Stock Exchange (GPW) in July 1997. The share capital of the Company amounts to 2 000 000 000 PLN and is represented by 200 000 000 ordinary bearer shares having a nominal value of 10 PLN each. Each share represents one vote at the General Shareholders Meeting.


The company’s shares are traded on the GPW’s primary market in a continuous trading system and are a component of the indices: WIG, WIG20, WIG20TR, WIG30, WIG30TR, WIG-GÓRNICTWO, WIG-Poland, WIG.MS-BAS, WIG-ESG, CEEplus, and by the end of 2019 also RESPECT Index.

In 2018 KGHM joined the FTSE4Good Index Series published by the London Stock Exchange. The FTSE4Good Index Series is designed to measure the performance of companies demonstrating strong Environmental, Social and Governance (ESG) practices. KGHM perceives joining the FTSE4Good as an award for its solid performance in complying with demanding ESG standards.

Operations on the Company’s shares and share capital

KGHM Polska Miedź S.A. has not made any changes to share capital, nor has it carried out any splits or reverse stock splits on the Company’s shares. The Company has not participated in, nor has it been a party to, any forced buybacks or calls on shares.

Issuances of shares

The Company has not conducted any subsequent share issuances apart from the initial public offering of shares of KGHM Polska Miedź S.A. in 1997.

"Bearer shares" - clarification

Please be advised that in accordance with the Polish legal system the term: "bearer shares" has a different meaning than "bearer shares" (anonymous and unregistered shares facilitating illicit actions) eliminated from the market by certain countries, e.g. in the UK (see: SBEE Act Companies: Transparency Fact Sheet (publishing.service.gov.uk).  We hereby indicate that the obligatory dematerialisation of shares carried out in Poland in 2021 abolished the anonymity of all shareholders of joint-stock companies. The necessity to register bearer shares makes it possible to identify each shareholder entitled to hold shares. The division into registered and bearer shares has been upheld largely due to the legal tradition in Poland.
