Acquisition by PHP „Mercus” sp. z o.o. of shares in the increased share capital of PU „Mercus Serwis” Sp. z o.o.

The Management Board of KGHM Polska Miedź S.A., based on information received today, announces that on 25 March 2008 a change in share capital was registered at the Regional Court for Wrocław-Fabryczna in Wrocław, Section IX (Economic) of the National Court of Registration for an indirect subsidiary of KGHM Polska Miedź S.A. – PU „Mercus Serwis” Sp. z o.o. The share capital of PU „Mercus Serwis” Sp. z o.o. was increased by PLN 1 499.8 thousand through the creation of 1 714 shares having a face value of PLN 875 each. All of the newly-created shares were acquired by PHP „Mercus” sp. z o.o. (subsidiary of KGHM Polska Miedź S.A.) at face value, i.e. PLN 875 each, and were covered by a contribution in kind in the form of property.The carrying amount of the acquired assets in the accounts of PHP „Mercus” sp. z o.o. according to their initial recognition at cost is PLN 1 499.8 thousand.The shares acquired represent 68.2% of the share capital of PU „Mercus Serwis” Sp. z o.o. The acquisition of these assets was financed by the internal funds of PHP „Mercus” sp. z o.o. The assets acquired are of a long-term, equity investment nature.Currently the share capital of PU „Mercus Serwis” Sp. z o.o. amounts to PLN 2 199.8 thousand and is divided into 2 514 shares of PLN 875 each. The total number of votes arising from all shares after registration of this change in share capital is 2 514. 100% of the share capital of PU „Mercus Serwis” Sp. z o.o. is owned by PHP „Mercus” sp. z o.o. Therefore PHP „Mercus” sp. z o.o. has the right to 2 514 votes at the Shareholders’ Meeting of the company.The criteria used for describing the assets as significant is that the financial assets acquired by PHP „Mercus” sp. z o.o. exceed 20% of the share capital of PU „Mercus Serwis” Sp. z o.o.Legal basis: § 5 sec. 1 point 1 of the Decree of the Minister of Finance dated 19 October 2005 regarding current and periodic information published by issuers of securities (Journal of Laws from 2005 No. 209, item 1744)
